Wholesale Terms & Conditions

Thank you for your interest in carrying Olive & Cradle. We design heirloom-inspired clothing for babies, children, and mothers, and we value the boutiques that share our pieces with their communities. These Wholesale Terms & Conditions ("Terms") apply to every wholesale order placed with Olive & Cradle, whether through our online B2B portal, by email, by phone, at a trade show, or through a sales representative.

By applying for a wholesale account or placing a wholesale order, you agree to these Terms. If you place orders through a third-party marketplace such as Faire, that marketplace's terms apply to those orders instead.

Definitions

  • "B2B" and "Wholesale" refer to the same thing. Both mean business-to-business sales of Olive & Cradle products to approved retailers for resale. The two terms are used interchangeably throughout these Terms, on our website, and in our communications.
  • "Olive & Cradle," "we," "us," and "our" refer to Olive & Cradle.
  • "Retailer," "Buyer," "you," and "your" refer to the business that holds an approved wholesale account.
  • "Opening Order" is your first wholesale order with Olive & Cradle. "Reorder" is any order after that.
  • "Wholesale Price" is the price you pay. "MSRP" is our manufacturer's suggested retail price.

2. Account Eligibility and Approval

Wholesale accounts are available to established retail businesses, and every application is reviewed by our team. We aim to respond within 2-4 business days. CLICK HERE to fill out an application.

To apply, please provide:

  • Your legal business name and the name customers know you by
  • A physical storefront address, website, or active social media shop
  • A valid resale certificate or sales tax permit for your state
  • A contact name, email, and phone number for ordering

We may decline or close an account at our discretion, including to protect the positioning of our brand in a local area. We reserve the right to verify your information before your first order ships. Please keep your account details current, and let us know if your business name, address, ownership, or tax status changes.

3. Ordering, Minimums, and Pricing

Opening Order - $300 Minimum

Reorder- $300 Minimum

Per style - No Minimums

Placing orders. Orders are placed through your B2B portal. An order is accepted once we send an order confirmation. Product availability is shown at the time of ordering. If an item becomes unavailable after you order, we will let you know and either backorder it with your approval or remove it and adjust your invoice.

Wholesale pricing. Wholesale Prices are shown in your portal while you are logged in. They are listed in U.S. dollars and do not include shipping or applicable taxes.

Retail pricing (MSRP). To protect the value of the brand for every stockist, we ask that you sell at or near our MSRP. Products may not be advertised online below MSRP except during our approved seasonal sale periods, or with our written approval. You set your own in-store prices.

Confidentiality. Wholesale Prices and these Terms are shared with you for your business only. Please do not share them publicly or with other businesses.

4. Payment Terms

All wholesale orders are due in full at the time the order is placed. This is the default for every account unless other payment terms have been approved in writing before ordering.

Net 30 terms. Net 30 terms are available to retailers who place orders over $1,000 and have completed at least two orders paid in full at the time of ordering. Net 30 must be requested and approved before the order it applies to is placed. To request it, email customerservice@oliveandcradle.com with your business name and expected order size.

Card on file. A valid credit card must be saved to your wholesale account before Net terms can be considered. You can save your card at checkout on either of your two required paid-in-full orders. Accounts on Net terms must keep a valid card on file at all times. If the card is removed or expires, orders will be due in full at checkout until a new card is added.

Every order placed on Net 30 terms requires:

  • Payment in full within 30 days. The full order total is due 30 days from the invoice date.
  • A credit card on file. By requesting Net terms, you authorize Olive & Cradle to charge this card for any balance that becomes past due, as described below.

Extended terms. If you would like payment terms longer than Net 30, send us a request that includes:

  • The amount you plan to purchase per order
  • How often you plan to order

We will review your request and reply with the terms we can offer.

Payment terms are final once an order is placed. Terms cannot be changed after an order is submitted, and we cannot issue refunds, credits, or re-bill an order because of its payment terms. Any change to your payment terms must be requested and approved before you place the order it should apply to.

Past-due invoices. If an invoice is not paid by its due date, we reserve the right to charge the remaining balance to the card on file 2 days after the invoice becomes past due.

Late payment fee. In most cases, a past-due balance is charged automatically to the card on file and no fee is added. A one-time late fee of 5% of the unpaid balance applies only when we need to take additional steps to collect payment, for example when the charge to the card on file is declined, the card has been removed or has expired, or we must contact you to arrange payment. This fee covers the administrative time and cost of that follow-up. It is not intended as a penalty.

Unpaid balances. We do not accept or ship new orders from any account with an unpaid or past-due invoice. Orders placed while a balance is outstanding may be held or canceled. Approved terms may be paused or removed after a late payment, and future orders will then be due in full at checkout.

5. Shipping, Lead Times, and Pre-Orders

In-stock orders ship within 5-7 business days of payment or approval. You will receive tracking by email when your order ships.

  • Shipping costs: calculated at checkout and added to your invoice. We do not offer free shipping on any wholesale orders.
  • Ownership and risk: ownership of the goods and the risk of loss pass to you once the order is delivered to the carrier, except when shipping is damaged in transit (see Section 6).
  • Pre-orders: new collections may be offered for pre-order with an estimated ship window. Production timelines can shift, and we will update you promptly if a window changes. Pre-orders may be canceled without a fee if they ship more than 30 days after the original window.
  • Partial shipments: we may ship in-stock items first and send the rest when available. Shipping on later partial shipments is covered by us.
  • International orders: the retailer is responsible for duties, taxes, customs fees, and any import requirements in their country.

6. Damaged, Defective, or Incorrect Items

Please inspect every shipment within 7 days of delivery and report any issue to wholesale@oliveandcradle.com within that window. Claims reported after that window cannot be accepted.

Include in your claim:

  1. Your order number
  2. The item name, size, and quantity affected
  3. Clear photos of the issue, the item's care label, and the shipping box and label if damage occurred in transit

For approved claims, we will choose one of the following: replace the item, issue a credit to your account, or refund the item's Wholesale Price. Please do not send items back unless we ask you to. If a return is needed, we will provide a prepaid return label.

If we shipped the wrong item or quantity, we will correct it at no cost to you.

Natural fibers such as linen, muslin, and double gauze have a slight texture, small slubs, and gentle variation in color between dye lots. These qualities are part of the fabric's character and are not considered defects.

7. Returns, Exchanges, and Cancellations

All wholesale sales are final, except for damaged, defective, or incorrect items covered in Section 6. Unsold inventory, slow sellers, and items your customers return to you cannot be returned to Olive & Cradle.

Approval required. Any return must be approved in writing first. Unapproved returns will be refused or returned at your cost.

Restocking fee. Approved returns that are not due to our error may carry a 15% restocking fee.

Cancellations. In-stock orders may be canceled at no charge before they ship. Pre-orders may be canceled at no charge until 30 days before the estimated ship window. After that, the order cannot be canceled because fabric and production have been committed. We may cancel an order if payment fails, the account is not in good standing, or an item is no longer available, and any payment for canceled items will be refunded in full.

8. Brand, Imagery, and Product Safety

Using our photos and brand. Approved retailers may use Olive & Cradle product photography, product descriptions, and our name to sell our products. We DO NOT have extended rights to any model photos, and they are not permitted for retailers use. Please do not edit, crop out, or filter our images in a way that changes how the product looks, and do not use our name or images for products from other brands. This permission ends when your account closes.

Online selling. You may sell our products in your store and on your own website and social media. Selling on Amazon, eBay, Walmart Marketplace, Etsy, Temu, Shein, or similar third-party marketplaces are not permitted and can cause your account with us to be terminated. Wholesale products may not be resold to other wholesalers, discount retailers, or liquidators.

Children's product safety. Olive & Cradle children's products meet the requirements of the U.S. Consumer Product Safety Improvement Act (CPSIA), including permanent tracking labels and a Children's Product Certificate. Our certificates are available on request. As a retailer of children's products, you agree to:

  • Leave all sewn-in labels, tracking labels, and care labels in place
  • Not alter, remove parts from, or add parts to our products
  • Not repackage or sell our products in a way that changes their intended use or age range
  • Remove an item from sale and contact us right away if we notify you of a safety concern or recall

Product care. Please share our care instructions with your customers. Natural fibers last for generations when washed gently, and our care guidance helps keep each piece an heirloom.

9. General Terms

Account standing. We may pause or close a wholesale account for late payment, selling below MSRP online without approval, unapproved marketplace selling, misuse of our brand, or any other breach of these Terms and will not be permitted to reapply. Accounts with no orders in 18 months may be closed, and you are welcome to reapply.

Limitation of liability. Our total liability for any order is limited to the amount you paid for that order. We are not liable for lost profits or indirect damages. Nothing in these Terms limits any rights that cannot be limited by law.

Circumstances beyond our control. We are not responsible for delays caused by events outside our reasonable control, including carrier delays, severe weather, supply shortages, or production disruptions. We will keep you informed and work with you on a new timeline.

Changes to these Terms. We may update these Terms from time to time. The version posted on this page when you place an order applies to that order. We will email active accounts about significant changes.

Governing law. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules.

Order of precedence. If a written agreement signed by both parties conflicts with these Terms, the signed agreement controls.
